Problems I Handle

Some matters that I have handled in the past two years:

  • Sold several professional services businesses including complicated lien clearance on FFE and issues related to valuation of inventory.
  • Home furnishing Designer Litigation. Ip litigation mixed with collections in both State and Federal court.  Successfully resolved.
  • Marijuana Grower. Represented a marijuana grower sued for selling collateral held in exchange for product.  Successfully resolved.
  • Bitcoin entrepreneur. Advise and negotiate on behalf of bitcoin entrepreneur thru post merger, new opportunities, business development to preserve ip rights, equity based compensation that was heavily negotiated and long term flexibility;
  • High Level Security Clearance Service Agreement. Advise software engineer client negotiate as a sub to a large high level security government contract and all of its dependencies including ip issues, payment, up and downstream obligations and client’s desire to be able to take his tool box from client to client;
  • Closely-held Corporation Compensation Plan. Advise founder of closely held corporation on the compensation of his key employees.
  • Cloud computing service agreements. Revise and structure master service agreement and address service levels and risk allocation. Negotiated with clients and VARs as well as licensors needed to offer full suite of managed services;
  • Real estate acquisition for family office.  Several large multi-family acquisitions (440 plus unit $24mil; 110 units $14 mil; new loan of $4 mil) on behalf of family office. From letter of intent and purchase and sale, formation of complex corporate organizational chart including borrower, sponsor, promote and JV partners. Handled all parts of transaction from loan and title, thru LLC Reg. D fund raise thru closings.
  • Resolved Various Trust Administrations and Opened Probate on Several Intestate Estates.
  • US Market Access:
    • On behalf of German software firm, formed US corporate structure;
    • On behalf of German services company, adapted non-US business model to US requirements, drafted master services agreement and negotiated on behalf of client with prospective clients;
    • On behalf of Japanese sake developer, identified and negotiated initial relationship to develop concept and identify distribution channels;
    • On behalf of Swiss systems on a chip licensor, adapted license agreement, addressed up and downstream pass thru obligations and negotiate with customers and partners to close business;
    • On behalf of Swiss family owned multi-line food and beverage entity, identified and qualified menu and concept development partners, RFP opportunities, drafted RFPs, identified and negotiated leases, architectural agreements and strategic partnerships.
  • Japan Market Access:
    • Set up meetings with prospective partners to introduce new non-Japanese brand to Japan including distributors, marketers, writers, banks, real estate opportunities and branding, and acted as client’s business developer, all in Japanese;
    • Advise Japanese pachinko company on the future of business in light of the new Casino law in Japan and US casino entrants;
